Who we are

Mind is an AI-powered development engine operated by Mind Code AI LTD, a company registered in England and Wales under company number 17410117 (“Mind Code”, “we”, “us”, or “our”). These terms form a binding agreement between you and Mind Code governing your use of mindcode.sh, the Mind CLI, and related services (together, the “Services”).

By creating an account or using the Services you accept these terms. If you are accepting them on behalf of an organisation, you confirm you have authority to bind that organisation.

Account creation and access

You must be at least 18 years old to use the Services. You are responsible for the accuracy of your account details, for keeping your credentials and API keys secure, and for all activity that occurs under your account.

If your account is provisioned by an organisation, that organisation may administer, access, restrict, or remove your access, and may view content you submit through it.

Notify us promptly at security@mindcode.sh if you suspect any unauthorised use of your account.

Use of the Services

You may use the Services only in accordance with these terms and applicable law. You must not:

  • Break the law, infringe intellectual property or privacy rights, or facilitate others in doing so.
  • Reverse engineer, decompile, or attempt to extract the source code or model weights underlying the Services, except to the extent this restriction is prohibited by law.
  • Use the Services to develop a competing product or foundation model, or to benchmark them for that purpose without our written consent.
  • Scrape, harvest, or bulk-extract data from the Services other than through documented interfaces.
  • Circumvent rate limits, plan limits, tenant isolation, or any other technical or security control.
  • Submit content you have no right to submit, or connect an integration you are not authorised to connect.
  • Interfere with or disrupt the integrity or performance of the Services.

We may suspend or terminate access that breaches these terms or that poses a security, legal, or operational risk.

Your content and model output

You retain all rights, title, and interest in the prompts, source code, files, configurations, and other content you submit (“Inputs”). You grant us a limited licence to process Inputs solely to operate and secure the Services for you — including indexing them for retrieval, generating repository dependency graphs, and transmitting them to designated inference endpoints to produce responses.

As between you and us, you own the responses the Services generate from your Inputs (“Outputs”), to the extent such rights can be assigned under applicable law. We assign to you whatever rights we hold in Outputs generated for you.

You are responsible for evaluating Outputs before relying on them. AI systems are probabilistic: Outputs may be inaccurate, incomplete, outdated, or unsuitable for your purpose, and similar Inputs from other customers may produce similar Outputs. Do not rely on Outputs as professional advice, and review generated code before running it in production.

We do not use your Inputs or Outputs to train foundation models by default. See “Model training and data sharing” below for our opt-in framework and safeguards.

Model training and data sharing

Model training on customer content is disabled by default across all tiers and accounts. We will never use your private repository code or interaction transcripts to train or fine-tune models unless you have explicitly opted in.

You may choose to grant opt-in consent to share session interaction trajectories and feedback to help improve Mind Code models. Granting training consent is entirely voluntary: access to core features, performance speed, quality of inference, and customer support is never conditioned on opting in.

Where opt-in consent is granted, strict automated safeguards apply: credentials, secrets, API keys, environment files (.env), and personal contact information are automatically filtered out before dataset creation.

You may withdraw your consent at any time from your account settings or by running `mind config set training off`. Withdrawal takes effect immediately. Transcripts associated with accounts that have withdrawn consent are quarantined and permanently excluded from future model training runs.

Where your account is part of an organisation on a Teams or Enterprise plan, your organisation administrator may enforce an organisation-wide “No training” or “Nothing shared” policy, which strictly overrides individual opt-in settings.

Feedback

If you send us suggestions, bug reports, or other feedback about the Services, we may use it without restriction, obligation, or compensation to you.

Subscriptions, fees, and payment

Paid plans are billed in advance on a monthly or annual cycle through our payment processor, Stripe, and renew automatically until cancelled. You authorise us to charge your payment method for all fees due, including applicable taxes.

You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you keep access until then. Usage-based charges accrued before cancellation remain payable.

If you are a consumer in the UK or EEA, you have a statutory right to withdraw within 14 days of purchase. By starting to use the Services within that period you request immediate performance and acknowledge you will be charged pro rata for what you have used.

We may change our fees. We will give at least 30 days' notice before a change takes effect for your plan, and the change applies from your next billing period. Continuing to use a paid plan after that date constitutes acceptance.

Except where required by law or expressly stated, fees are non-refundable.

Third-party services

The Services integrate with third-party products such as GitHub, Notion, Jira, Confluence, Slack, Datadog, and Figma, and route requests to third-party model providers. Your use of those products is governed by their own terms, and we are not responsible for their availability, content, or practices.

Where you supply your own model provider API keys, you are responsible for the cost and terms of your use of those providers.

Software

The Mind CLI and other software we distribute may update automatically to maintain security and compatibility. Components licensed under open-source terms are governed by those licences, which prevail over these terms to the extent they conflict.

Self-hosted deployments are licensed to you under a signed licence key for the term of your subscription and may not be sublicensed, resold, or used beyond the scope of your plan.

Ownership of the Services

Mind Code and its licensors retain all right, title, and interest in the Services, including all software, models, interfaces, documentation, and trade marks. These terms grant you a limited, non-exclusive, non-transferable right to use the Services, and no other rights are granted by implication.

You may not use our name, logo, or brand assets without our prior written permission, except to accurately describe that you use Mind.

Disclaimers, liability, and indemnity

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Services will be uninterrupted, error-free, or that Outputs will be accurate.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited. Your statutory rights as a consumer are unaffected.

Subject to the paragraph above, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to these terms is limited to the greater of the amounts you paid us in the 12 months before the event giving rise to the claim, or £100.

If you use the Services for business purposes, you indemnify us against claims, losses, and costs arising from your Inputs, your use of the Services, or your breach of these terms.

Changes and termination

We may modify the Services over time. Where we discontinue a material feature we will give at least 30 days' notice unless a shorter period is needed for legal or security reasons.

We may revise these terms. We will post the updated version with a new date and, for material changes, give notice before they take effect. If you do not accept the revised terms, stop using the Services and cancel your subscription.

You may stop using the Services at any time. We may suspend or terminate your access for material breach, non-payment, or where required by law. On termination, your right to use the Services ends and we will delete or return your content in line with our Privacy Policy.

Provisions that by their nature should survive termination — including ownership, disclaimers, liability limits, and indemnities — do so.

General terms

These terms, together with our Privacy Policy and any plan-specific or enterprise terms, form the entire agreement between you and Mind Code on this subject. If any provision is held unenforceable, the rest remains in effect.

You may not assign these terms without our consent; we may assign them to an affiliate or in connection with a merger or sale of assets. Our failure to enforce a provision is not a waiver of it.

You must comply with applicable export control and sanctions laws, and must not use the Services in a sanctioned territory or if you are a restricted party.

Governing law and disputes

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute. If you are a consumer resident elsewhere in the UK or the EEA, you keep the benefit of any mandatory protections and may bring proceedings in your local courts.

Before starting proceedings, please contact us at legal@mindcode.sh — most issues can be resolved quickly.
